Bushwillow nature Conservation cc. trading as Bushwillow Fourways is the Franchisor, and the other branches are Franchisees.

The Fourways outlet has achieved the highest sales to date and has the highest sales density in that particular shopping centre. We have been requested to open Bushwillow outlets in other areas of southern Africa to provide a service for those particular communities. It is our intention over the next few years to go national with the franchise and to have Bushwillow stores in every viable region in southern Africa.

We have surveyed most of the major regional shopping centres and believe that it would be viable to open franchised outlets in most of the major shopping malls, and associated areas. In all cases, the Bushwillow store would provide a unique outlet to the shopping region and would compliment the overall mix of shops.

The shop would ideally have the following parameters to ensure success:

• Be situated in an upmarket shopping region which is not predominantly entertainment, or a dedicated venue such as a nursery or botanical garden.
• Must attract serious shoppers
• Be able to attract A and B income group customers.
• Be situated in a reasonably high traffic area with good visual exposure
• Be sized between 50 and 100 sq.m. with a good window frontage.

Bushwillow is a nature conservation retail outlet, and stocks goods associated with wildlife and nature conservation in the broader sense. The selection of goods is part of the success of the organisation and great care is taken to ensure that standards are maintained at all times.

A brief outline of the categories of goods are:

• A comprehensive collection of wildlife reference and field books.
• A complete range of wildlife videos, tapes and CD's.
• The best equipment in spotting scopes, binoculars and other field equipment.
• An excellent range of outdoor clothing including hats, shoes, belts, and other associated items.
• All items associated with bidding and animal watching from nesting logs to bird book bags and bird feeding trays.
• Unique hand crafted artefacts made in South Africa and only sold in our chain of stores.
• A large range of gift items, including linen, curios, pottery, glass, stationary, jewellery, and wooden goods all made in South Africa.
• The Endangered Wildlife Trust & Birdlife SA regalia items and membership.
• A collection of wildlife art and nature posters.
• A selection of goods specifically for the younger wildlife enthusiast, including clothing, toys, stationary and books.

Association with the Endangered Wildlife Trust.
The Bushwillow stores are closely associated with the Endangered Wildlife Trust and donate one and one quarter percent of their sales to the Trust. To date (till end February 2002) the Trust has received over R1 400 000.00 in donations from the Bushwillow organisation.

The public, shopping at our stores are aware that a portion of their purchases are channelled into the various conservation projects currently being run by the Trust. Bushwillow would be the only outlet within a particular complex to actively support the Endangered Wildlife Trust and would thus provide a unique addition to the mix of retail shop within an area.

The Endangered Wildlife trust is a non-government, non-profit organisation, dedicated to the preservation of species in southern Africa. Currently they are involved in over eighty projects, from as far afield as Mozambique to the North coast of Namibia.

Responsibilities
Like all the Bushwillow shops, a new franchised outlet would support the Endangered Wildlife Trust and donate 1,25% of its sales to the Trust. In turn the Trust would support the outlet with regalia, advertising and activities. Bushwillow Nature Conservation and it's franchisees have the sole right to advertise the fact that a percentage of it's sales are donated to the Endangered Wildlife Trust.

The Franchiser would:

• Assist the franchisee to select the correct premises and location and set up preliminary capex and stock budgets;
• Assist with lease arrangements with the landlord;
• Advise and approve shop layouts and designs;
• Arrange for initial stock orders to be placed from select suppliers;
• Wherever possible negotiate with specialised suppliers for exclusivity of product within the region;
• Provide the franchisee with a complete list of preferred supplier information;
• Subject to individual credit worthiness ensure that the franchisee enjoys the same preferred terms and discounts as the franchisor and other franchisees;
• Provide software sales and expense packages if required (under licence) and detailed lists of certain product lines;
• provide information on new product, advertising and ongoing business.

The Franchisor would:
Enter into a franchise agreement with Bushwillow Nature Conservation cc. which would include an agreement with the Endangered Wildlife Trust. The franchise fee is 2.0% of sales turnover exclusive of VAT and EWT regalia items, payable 10 days after the completion of a trading month. An initial fee is payable of R45 000 in the Gauteng area, which may be increased in the out of town areas to cover transport and travel.
